	Body Ecology Affiliate Program Terms & Conditions Agreement This agreement sets forth the agreement between BODY ECOLOGY INC. and each BODY ECOLOGY AFFILIATE governing the use by you of this site. By joining the BODY ECOLOGY AFFILIATE PROGRAM, you are accepting this TERMS & CONDITIONS agreement. Becoming a BODY ECOLOGY AFFILIATE To become a BODY ECOLOGY AFFILIATE, you must submit a completed application through our affiliate website. Submission of your application to the BODY ECOLOGY AFFILIATE PROGRAM, implies that you agree to the terms on this agreement. All or any part of the information provided by you on our application or any other inquiry will only be used for BODY ECOLOGY AFFILIATE PROGRAM purposes. Your application will be evaluated and you will be notified via email of your acceptance or rejection into the affiliate program. We may reject your application if we, BODY ECOLOGY INC. determine for any reason that your website does not qualify for the BODY ECOLOGY AFFILIATE PROGRAM or if any information included in your application is not truthful or accurate. Websites that do not qualify include, but are not limited to, those that: Contains or endorses: - any violations of the law; - any violence; - gambling, alcohol, or drugs: - sexually explicit material; or - discrimination based on gender, age, race, origin, religion, physical or mental disabilities, or sexual orientation; or - Sites that distribute or endorses the distribution of SPAM; - Sites that are under construction at the time the application is submitted; - Sites that are restricted to members only; The terms of this Agreement and our acceptance criteria are subject to change at any time without prior notice. This agreement will be made available to each BODY ECOLOGY AFFILIATE through our website and via the BODY ECOLOGY AFFILIATES administration center. In the event that the terms and conditions of this agreement are modified, each BODY ECOLOGY AFFILIATE will be notified via email. All decisions for acceptance into the BODY ECOLOGY AFFILIATE PROGRAM will be made within our sole discretion and without explanation of the reasons for rejection. If your application is not accepted, you may reapply. Termination Regardless of your acceptance, Body Ecology Inc. has the right to terminate the affiliate relationship at any time for any reason. You understand and acknowledge that should Body Ecology Inc. be forced to terminate your affiliate account status for any reason, the balance of any and all un-paid commissions will be paid by Body Ecology Inc., unless your acquisition of the commission via legal means is in question, in which case the legal issues will first be resolved to determine if commissions are legitimate. Links On Your Site After becoming a BODY ECOLOGY AFFILIATE, we will provide you access to BODY ECOLOGY VALID LINKS that are subject to the terms and conditions of this Agreement. A VALID LINK is a link (graphic or text) from your website to our website that is provided to you to use only to market our products or services while you are enrolled in the BODY ECOLOGY AFFILIATE PROGRAM. VALID LINKS will provide our affiliate management system the ability to identify you as a BODY ECOLOGY AFFILIATE. A VALID LINK will also be the instrument by which we will track your referral activity which may result in you being eligible to receive a commission payment. All BODY ECOLOGY AFFILIATES will only use VALID LINKS that are approved by BODY ECOLOGY INC. to link to our website. You acknowledge that, by participating in the BODY ECOLOGY AFFILIATE PROGRAM, we may receive information from or about visitors to your site or communications between your site and those visitors. Your participation in the BODY ECOLOGY AFFILIATE PROGRAM constitutes your consent to and authorization for our access to, receipt, storage, use, and disclosure of any and all such information. Prohibitions You understand and acknowledge that this agreement is made between you and Body Ecology Inc. and is solely for the purpose of allowing you to link to the Body Ecology website www.bodyecology.com. As a condition to your acceptance and participation in the Program, you agree to not engage in the following practices: - Use the name Body Ecology Inc. in any manner not expressly authorized by this agreement; - Use the name Body Ecology Inc. in meta tags, hidden text or source code, in your domain name or any other part of your URL; - Bidding on any keyword on any Pay Per Click Search Engines that includes the phrase BODY ECOLOGY or Donna Gates (unless your name or one of the key members of your business is also named Donna Gates) - Use Body Ecology Inc. logos and website content without express written permission for any purpose without expressed written permission. - Misrepresentation of Body Ecology Inc.s products or website content. - Unethical marketing or recruiting practices. Violation of any of the terms or prohibitions contained in this agreement may result in, among other things, the immediate termination of this agreement and/or the commencement of an action by Body Ecology Inc. against you seeking, without limitation, injunctive relief and/or recovery of actual, statutory and/or punitive damages. In addition, you shall protect, defend, indemnify and hold harmless us and our parent and related entities from and against any claims, actions, liabilities, losses, damages, costs or expenses, including without limitation, attorneys' fees and costs of litigation, even if such claims are groundless, fraudulent or false, incurred by us or related entities arising out of any content or activity by you or on your site or resulting from or in connection with your violation of any of the terms or prohibitions contained in this Agreement or any law, rule or regulation, including without limitation, claims for unsolicited email (spamming) or under the CAN-SPAM Act of 2003 or other violations of third party intellectual property rights, rights of privacy, including but not limited to the Children's Online Privacy Protection Act of 1998 ("COPPA"), or publicity rights. The terms of this Agreement shall be construed and enforced under the laws of the State of Georgia. We have the right in our sole and absolute discretion to monitor your site at any time and from time to time to determine if you are in compliance with the terms of this Agreement, and you agree to provide us with unrestricted access to your site for such purpose. Commissions Earned for Eligible Referred Customer All BODY ECOLOGY AFFILIATES will receive will receive a commission based upon the following schedule: - 15% of product sales All product sales must be purchased by Eligible Referred Customers. An Eligible Referred Customer is one that meets the following criteria: 1. The customer was referred to Body Ecology Inc. by a BODY ECOLOGY AFFILIATE using the affiliates ID code or by the referral tracking URL VALID LINK provided by Body Ecology Inc. 2. The referred customer purchases the product or service within 365 days from the initial referral date using a VALID LINK or the BODY ECOLOGY AFFILIATES ID Code. 3. The customer does not return products for a refund or credit within 30 days of the Order Date. The commissions schedule can be modified by Body Ecology Inc. at any time. The BODY ECOLOGY AFFILIATES commission will be approved for payment by the 15th of the month after the above criteria has been met and the BODY ECOLOGY AFFILIATE has accrued approved commissions of $100.00 or more. All commissions will be paid in U.S. currency and will be paid via PayPal electronic payment transfer system. Body Ecology Inc. reserves the right to decline and withhold any commissions it deems as fraudulent. All BODY ECOLOGY AFFILIATES must provide Body Ecology Inc. a completed IRS W-9 form (see below) before any payments are made to the BODY ECOLOGY AFFILIATE.
